Requires complex contract drafting and negotiation skills, solid business judgment and instincts, and overseeing outside counsel.Responsibilities:**
Position functions as in-house legal counsel with responsibility for all day to day legal aspects of content acquisition related to the Company''s broadcast television and retransmission consent business. Involved from the inception of each deal, advises on deal structure, reviews all term sheets/deal proposals and responsible for the negotiation and drafting of complex agreements with broadcast station owners. Position works closely with the corporate Content Acquisition Group to negotiate and draft agreements.
Responsible for providing ongoing advice and counsel to Corporate Programming and senior management - on policy, legal and business implications of retransmission consent agreements and broadcast industry relationships. Examples include analysis of signal carriage obligations, drop rights, compulsory copyright and payment terms. Advises regional operations and Video Product on rights and obligations with respect to broadcast station carriage and contractual requirements.
Keeps fully informed with respect to all regulations and legislation (both in effect and proposed) affecting the Company''s broadcast industry business. Advises content acquisition team on compliance with legal and regulatory schemes, both existing and on the horizon, that relate to carriage of broadcast stations, such as the FCC''s JSA restrictions, good faith negotiations, network non-duplication and syndicated exclusivity compliance, and rules regarding notices to customers, stations and LFAs.
Responsible for all other matters relating to carriage of broadcast television stations and the broadcast industry, including analysis of mergers and acquisitions within the industry and the resulting impact of our carriage rights, obligations and agreements, and handling the tri-annual retransmission consent election cycle.Minimum Qualifications:**
Law Degree and admission to at least one state bar; top tier law school preferred.
Over 8 years transactional experience in a major law firm or comparable setting and/or in-house in the cable industry, with emphasis on copyright and content licensing; experience with the broadcast industry and its regulatory framework required.
